Chapter I – General Provisions

1.       Goud Palm B.V.

1.1    Goud Palm B.V., trading under the name Palm Villas, hereinafter referred to as 'Palm Villas', is a private limited liability company incorporated under the law of the Dutch Caribbean and registered with the Trade Register of the Chamber of Commerce and Industry Bonaire under number 15550.

 

2.       Applicability

2.1    These terms and conditions apply to every agreement, quotation, legal or factual act relating to the services to be provided by Palm Villas and to any follow-up assignments entered into between the client and Palm Villas and between the tenant and Palm Villas, including amendments thereto. The applicability of the client's terms and conditions is expressly excluded.

2.2     Palm Villas has the right to amend these general terms and conditions. In the event of an amendment, the amended terms shall apply to new assignments as from the day of publication on https://palmvillasbonaire.com/.

2.3    If one or more provisions of these general terms and conditions should be invalid, the remaining provisions shall remain in full force and effect.

 

3.       Applicable law and complaints

3.1     These general terms and conditions and the agreement between Palm Villas and the client or tenant shall be governed by the law of the Dutch Caribbean. Any persistent dispute concerning the formation, interpretation and/or performance of the agreement shall be submitted exclusively to the Court of First Instance of Bonaire for resolution.

3.2     Complaints must be reported in writing to Palm Villas no later than fourteen (14) days after the occurrence of the complaint. In the event of a complaint, the parties will initially consult with a goal to reaching a solution before initiating legal proceedings. A complaint does not release the client or tenant from its payment obligations under the concluded agreement.

 

4.       Intellectual property

4.1    Palm Villas reserves all intellectual property rights with regard to products of the mind which it (has) used or developed in the context of the execution of the assignment and in respect of which it has or can assert the copyrights or other intellectual property rights.

4.2    The client is expressly prohibited from reproducing, disclosing or exploiting the intellectual creations, including but not limited to methods, advice and (model) contracts, whether or not with the involvement of third parties. Reproduction, disclosure and/or exploitation is only permitted with the prior written consent of Palm Villas.

Chapter III – Short-Term Rental

12.    Booking Agreement

12.1  Contrary to the provisions of the preceding articles, for bookings of an accommodation via https://palmvillasbonaire.com/ these terms and conditions are accepted when the booking of an accommodation has been completed.

 

13.    Accommodation

13.1  The description of the accommodation is made as clear and accurate as possible. Palm Villas is not liable for differences in location, surface area, furnishings, appearance and/or view of the offered apartments or villas.

13.2  Depending on the accommodation to be booked, it may be required that a security deposit is paid. The deposit serves as a guarantee for any damage or nuisance caused. If, upon Palm Villas' indication, no damage or nuisance has occurred, the deposit will be refunded within ten (10) calendar days.

13.3  The booker is obliged to behave as a careful householder during the stay in the accommodation. This implies, among other things, that the booker uses the accommodation carefully and with respect for the property and the surroundings. The booker is expressly prohibited from, but not limited to:

a.     Engaging in unlawful or immoral activities in or around the accommodation;

b.     Performing acts that may disrupt the normal operation of Palm Villas or cause damage to the reputation, business operations, employees or guests of Palm Villas or to local residents;

c.      Granting third parties access to the accommodation without prior written consent of Palm Villas;

d.     Providing false, incorrect or misleading information when making the booking, including but not limited to details regarding identity, number of guests and purpose of the stay.

13.4  In the event of a breach of this provision, Palm Villas is entitled to terminate the stay immediately without refund of (part of) the booking costs. In such case, the booker is liable for all direct and indirect damage, costs and fines resulting from the breach.

 

14.    Payment

14.1  The required deposit is 30% of the total amount, payable upon confirmation of the booking. The remaining amount must be paid no later than 45 days prior to arrival. If the booking is made within 45 days before arrival, the full amount is due upon confirmation of the booking.

14.2  On Bonaire, tourist tax applies per visitor per arrival. This tax must be paid before or upon arrival at Bonaire Airport to the local authorities and is not included in the total amount of the accommodation booked. If the visitor leaves the island during their stay, the visitor must pay tourist tax again upon re-entry.

 

15.    Right of Withdrawal, Cancellation and Refund

15.1  Palm Villas' offer is without obligation and may, even after acceptance of the offer and any deposit, be revoked by Palm Villas within forty-eight (48) hours. If the period ends on a Sunday or public holiday, the period is extended to the next business day. By revocation by Palm Villas, the booking agreement shall automatically terminate and the booker can no longer claim the booking. In the event of revocation, Palm Villas aims to refund the (down)payment made within forty-eight (48) hours after revocation.

15.2  For bookings made more than 45 days before arrival, the booker is not subject to cancellation costs. If the booker cancels within 45 days before arrival, cancellation costs equal to 100% of the total amount shall apply. Possible transaction costs remain for the booker.

15.3  If unavoidable or extraordinary circumstances occur in Bonaire, the accommodation or its immediate surroundings that have significant consequences for the performance of the booking agreement, Palm Villas may terminate the booking agreement on the basis of this agreement, provided that the booker has been informed prior to the arrival date. In such case, the total amount will be refunded, but there is no entitlement to compensation.

 

16.    Processing of Personal Data

16.1  Palm Villas processes personal data of the booker solely for the purpose of performing the booking agreement and the statutory obligations arising therefrom in accordance with the BES Personal Data Protection Act.

16.2  Personal data shall not be retained longer than necessary for the stated purpose and shall not be disclosed to third parties, unless this is legally required or necessary for the performance of the agreement.

 

17.   Liability to the booker

17.1  Palm Villas is not liable for any damage to the booker, except in cases of intent or gross negligence.

17.2  Palm Villas is not liable for damage resulting from the use of (electronic) means of communication, including damage caused by non-delivery or untimely delivery of electronic messages by third parties or by software/hardware used for electronic communication, or by transmission of viruses and other harmful devices.

17.3  To the extent that Palm Villas is obliged to compensate damage, this concerns only damage against which Palm Villas is insured or ought to have been insured, provided that the compensation shall never exceed the invoice value of the (part of the) assignment from which the liability arises, the maximum insured amount or the amount that could reasonably have been insured for compensation.

17.4  A claim for compensation must be submitted to Palm Villas within one 24 hours after the booker discovered or reasonably could have discovered the damage, failing which the right to compensation shall lapse.
